Terms and Conditions for “Free Hosting” Special Offer (“Friends25”)
By signing up for hosting services with CODEC Prime, Inc. (“we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by the following Terms and Conditions (“Terms”). These Terms govern your use of our hosting services, including any special offers, such as the Free Hosting Special Offer (“Special Offer”). Please read these Terms carefully before signing up. By completing the signup process, you acknowledge that you have read, understood, and agree to these Terms.
We provide web hosting services for WordPress websites, including but not limited to:
Website hosting on our servers.
Expert website maintenance (e.g., theme/plugin updates, conflict resolution, security monitoring).
Domain Name System (DNS) setup and management.
Secure Sockets Layer (SSL) certificates.
Security systems, firewalls, and 24/7 monitoring.
Website migration from your current provider (e.g., GoDaddy).
Optional email hosting services, subject to purchasing an email plan.
We are currently offering a Free Hosting Special Offer to eligible new clients, subject to the following benefits and terms.
The Special Offer includes:
Free hosting for your WordPress website.
Free expert website maintenance, including updates to themes and plugins, conflict resolution, and monitoring of security updates and plugin vulnerabilities.
Free expert website migration from your current provider and DNS setup.
Free SSL certificate.
Free security system, firewall, and 24/7 monitoring package.
Valid for one (1) year from the date of signup.
No costs or fees during the offer period.
No credit card required.
The Special Offer is subject to the following conditions:
Signup is available until September 1, 2025.
Available to new clients only.
No cash value or refunds for unused services.
Applicable to WordPress websites only.
Website size must be under 3GB (files + database combined).
Websites must be free from malware, as determined by our scanning tools.
We reserve the right to decline certain websites at our sole discretion (e.g., due to complexity, resource requirements, or non-compliance with these Terms, or due to other reasons).
After the one-year offer period, clients may continue hosting with us by subscribing to a paid hosting plan at the then-current rates, or terminate services per Section 10.
The Special Offer does not include email hosting or email migration services. If your current hosting plan (e.g., with GoDaddy) includes email service, feel free to keep your current email service provider.
If you wish to also migrate your email accounts to our servers:
You must purchase an email plan (e.g., 5 free mailboxes per domain, $1/month per additional mailbox).
You must pay a one-time fee for an email migration tool (e.g., imapsync or similar service) to transfer existing emails from your current provider to our servers.
Your users will need to update their email client configurations on devices (e.g., phones, laptops) to use our email servers (e.g., mail.client1.com for IMAP/SMTP) and, if applicable, new passwords set during migration.
Email migration is optional. You may choose to keep your email services with your current provider (e.g., GoDaddy), in which case no changes to email settings are required, and your email setup remains unchanged.
To use our hosting services, including the Special Offer, you must:
Be at least 18 years old or have legal authority to enter into this agreement.
Provide accurate, complete, and current information during signup (e.g., name, contact details, domain information).
Comply with all applicable laws and regulations regarding your website content and email usage.
Ensure your website is WordPress-based and meets the Special Offer criteria, if applicable.
Client Account: Upon signup, you will receive access to our control panel for managing your website (e.g., staging, backups, content updates). If you purchase an email plan, you will also manage email accounts (e.g., mailboxes, passwords) via the our control panel or webmail.
Credentials: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
User Management: You may assign additional users to your account (e.g., developers), but you are responsible for their compliance with these Terms.
For clients signing up under the Special Offer, we will migrate your WordPress website (files and database, under 3GB) from your current provider (e.g., GoDaddy) to our Plesk server at no cost. Migration includes DNS setup to point your website to our server.
Requirements: You must provide access to your current provider’s control panel, FTP/SFTP, and/or database credentials for migration. Websites must be malware-free, as verified by our tools.
Email Migration: If you choose to keep email services with your current provider, we will not migrate email accounts, and your email DNS settings (e.g., MX records) will remain unchanged. If you purchase an email plan, email migration requires a separate fee for the migration tool, as noted in Section 2.3.
Downtime: We strive to minimize downtime during migration, but DNS propagation (0–24 hours) may temporarily affect website or email access. We are not liable for such downtime.
Optional Email Hosting: Email hosting is not included in the standard hosting plan or Special Offer unless you purchase an email plan. If purchased, we provide email hosting via Plesk’s Postfix/Dovecot servers, including IMAP/POP3/SMTP, webmail, and mailbox management.
Keeping Existing Email: If you do not purchase an email plan, you may continue using your existing email provider (e.g., GoDaddy). We will configure your domain’s DNS (via Cloudflare or your registrar) to maintain your provider’s MX and TXT records (e.g., SPF, DKIM), ensuring no changes to your email setup.
Email Plan Terms:
The cost of email service is determined by the current email plans as posted on https://codecsuite.com website or individually agreed with the Client.
Email migration from your current provider requires a one-time migration tool fee (determined at the time of migration).
Post-migration, your users must update their email clients (e.g., on their phones, laptops) with our server settings and, if applicable, new passwords.
Deliverability: For email plans, we configure SPF/DKIM/DMARC via Cloudflare to ensure deliverability, but we are not responsible for blacklisting or spam filtering by third-party providers.
DNS Setup: We will configure DNS for your website to point to our Plesk server (e.g., A record to our server IP). For clients not purchasing an email plan, we will preserve your existing email provider’s MX and TXT records.
Cloudflare: If you use Cloudflare (our preferred DNS provider), we may update nameservers or records on your behalf, with your permission.
Domain Ownership: You are responsible for maintaining ownership and registration of your domain with your registrar (e.g., GoDaddy, Namecheap). We do not provide domain registration services.
You agree to use our services in compliance with applicable laws and these Terms. Prohibited activities include, but are not limited to:
Hosting or transmitting malware, viruses, or harmful code.
Engaging in spamming, phishing, or unauthorized email activities.
Hosting illegal or infringing content (e.g., copyrighted material without permission).
Overloading our servers with excessive resource usage (e.g., CPU, disk). We reserve the right to suspend or terminate your account for violations, without notice, at our sole discretion.
Backups: We provide site-specific backups (files + database) for your website, stored on Amazon S3, with weekly schedules and retention of up to 4 backups. Backups are included in the Special Offer and standard hosting plans.
Responsibility: While we strive to maintain reliable backups, you are responsible for maintaining your own backups of website and email data (if applicable). We are not liable for data loss due to server failure, hacking, or other events beyond our control.
Special Offer Term: The Special Offer provides free hosting for one (1) year from signup. After this period, you may subscribe to a paid hosting plan or terminate the services.
Termination by You: You may terminate your account at any time by providing 30 days’ written notice via email to [your-support-email]. No refunds are issued for unused services under the Special Offer.
Termination by Us: We may terminate or suspend your account, with or without notice, for violations of these Terms, non-payment (for paid plans), or at our discretion (e.g., if your website poses a security risk).
Post-Termination: Upon termination, we will delete your website and email data (if applicable) from our servers. You are responsible for exporting data prior to termination.
Email Plans: If you purchase an email plan, you agree to pay the specified fees via the payment link we’ll send you.
Hosting Plans Post-Special Offer: After the Special Offer period, hosting fees will be charged at the then-current rates, payable monthly or annually or as per special price agreed upon with you in advance.
Non-Payment: Failure to pay fees for paid plans may result in account suspension or termination.
Your Content: You retain ownership of all content (e.g., website files, emails) hosted on our servers. By using our services, you grant us a limited license to host, backup, and manage your content as necessary to provide the services.
Our Property: Our hosting platform, Plesk interface, and proprietary tools remain our intellectual property. You may not reverse-engineer or reproduce our services.
To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of our services, including but not limited to:
Website or email downtime.
Data loss or corruption.
Security breaches or malware infections.
Third-party actions (e.g., blacklisting by email providers). Our total liability for any claim shall not exceed the fees paid by you for the services in the preceding 12 months (or $0 for the Special Offer).
You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your use of our services, including but not limited to:
Violations of these Terms.
Infringement of third-party rights (e.g., copyright, trademarks).
Harm caused by your website or email content.
These Terms are governed by the laws of New York, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York, USA.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website (https://codecsuite.com/special-offer-terms-conditions) and emailed to clients at least upon taking effect. Continued use of our services after changes constitutes acceptance of the updated Terms.

Client Agreement
By signing up for our hosting services, including this Special Offer, you agree to these Terms and Conditions. You acknowledge that:
The Special Offer provides free hosting and maintenance for one year, subject to the terms in Section 2.
Email hosting and migration are not included in the Special Offer; purchasing an email plan and migration tool is required for email migration, with updates to email client settings.
You may keep your existing email provider (e.g., GoDaddy) without changes if you do not purchase an email plan.
You are responsible for complying with these Terms and maintaining accurate account information.
